Junior member of Team managing Secretarial operation of A cluster of companies
Corporate Secretarial Department has to take necessary decisions and actions to make the Group compliant of corporate law requirements. It has to ensure all business / financial operations are statutory compliant and the job is more of operational than advisory. Its jobs include 1. Continuous monitoring of operations / managerial actions and ensuring they are compliant of statutes and corporate agreements. 2. Maintain statutory records, 3. Fulfill corporate statutory obligations by filing necessary forms and documents with statutory authorities, 4. Conduct meetings of Boards including its committees & members of corporate entity and 5. Continuously undertaking necessary actions, to uphold and improve Corporate Governance Process of GMR Group. As per the present statutes the Company Secretary is one of the three Key Managerial Personnel for a company and the Corporates fulfilling the statutory limits shall appoint a Company Secretary without fail. These services cannot be availed from outside technical experts. In house executive is essential for operating Secretarial services. Hence Secretarial function is essentially operational / managerial and cannot be considered as Technical.

- Undertaking the operations relating to conducting Board meetings, general meetings and committee meetings of entities entrusted and ensure efforts are coordinated towards obtaining necessary approvals of Board. Committee /Shareholders, as the case may be.
Timely execution
- Ensure that the Board’s directions / decisions are internally communicated to the management team and are acted upon & reported to Board. Timely execution
- Management of statutory compliances operations of corporate entities entrusted to the position Compliances on time
- supporting the immediate manager in improving / managing the corporate governance activities of he Group No failure in support.
- Maintaining statutory records and registers under applicable laws for corporate entities entrusted to the position Compliances on time

- Statutory authorities like Registrar of Companies, Depositories(NSDL,CDSL), Stock Exchanges, Registrar& Transfer Agents etc.

FINANCIAL DIMENSIONS
- Making payment to statutory authorities by way of fees upto Rs. 50,000 per annum
- Meeting expenditure towards conducting meetings etc. and other services which may cost up to Rs. 10 lakhs per annmum
Other Dimensions
- Coordinating with management trainees and/or coordinators
- Support in governance initiatives of the Group
Education Qualifications
- Associate Member of Institute of Company Secretaries of India(ICSI)
- Skill to obtain relevant information from cross functional teams
- Ability to understand the business requirements and put proposals before the Board, accordingly.
Relevant Experience
- 15 months in Corporate Secretarial Department as management trainee under ICSI guidelines
- 4 to 7 years for AM.
